Our client, a global bank, is looking for a Mid-level Transaction Management Lawyer!
Please note this role can be carried out in either London or Birmingham.
Role overview:
* The contractor will be involved in all aspects of the documentation process for corporate loan transactions (typically ranging from £10m to £750m).
* From early-stage documentation (such as term sheets and structuring) through to the negotiation of key finance documentation (including facility agreements and intercreditor agreements), the contractor will be working closely with our top UK CMB clients and key internal stakeholders such as Coverage, Corporate Banking Origination, CMB Legal and Sustainable Finance. The contractor will also be the main point of contact for external lender counsel to facilitate successful deal completion.
* Experience in running and leading on multiple loan processes will be essential as the contractor will be required to, with support from the wider Transaction Management team, lead on the commercial negotiations and other legal aspects of lending documentation and lending transactions. The contractor will consequently need to have a minimum of 4 years PQE experience in banking law and an understanding of the UK corporate lending market and related documentation.
* This is an excellent opportunity to strengthen the working relationship between our firms (particularly with the Transaction Management team and the multiple business segments that we support) whilst also enabling the contractor to gain valuable commercial experience and expand their external professional network.
Key contractor responsibilities will include:
* Leading all aspects of loan execution (bilateral and multi-banked loans), including advising on transaction structuring and explaining common risks (both commercial and legal) associated with complex loan transactions.
* Supporting UK CMB clients and advising key internal stakeholders by interpreting legal advice/concepts in respect of financing arrangements and explaining associated risks and mitigants.
* Negotiating and agreeing key terms embedded within term sheets and LMA facility agreements, ensuring compliance with HSBC’S internal policy, relevant credit approvals and aligning with common market positions.
* Project managing loan transactions from execution and being the key contact for external legal counsel on deals.
* With the support of Coverage, Origination and other key stakeholders, the contractor may be required to participate in all parties' calls covering key commercial issues alongside legal and policy points.
To be successful in this role the contractor should meet the following requirements:
* Strong knowledge of LMA UK’s loan documentation and the syndicated loans market more generally is preferable.
* A minimum of 4 years PQE experience in corporate finance/banking law.
* Have the ability and the confidence to lead the documentation process for LMA facilities from both a commercial and legal perspective and advise internal stakeholders on key issues.
* A strong desire to develop structuring skills and to lead negotiations on complex corporate loan transactions, including refinances, Sustainable Linked Loans, MBOs, “cashouts”, acquisition finance and post IPO financing is preferable.
* Excellent written and spoken communication skills, alongside an eye for detail, with some experience of successfully influencing others, negotiating effectively.
* Experience in building and managing relationships.
* Willingness to undertake internal training to support internal stakeholders.
* A genuine interest to develop their technical and commercial skills relating to the UK loan market.
