The Tax & Structuring Team
The Tax & Structuring team sits within our Corporate & Commercial Division. The team consists of 8 Partners and 12 other lawyers spread across offices in Leeds, London, Manchester, and Glasgow, working cross-office. This setup allows for resource sharing and collaboration, providing associates the opportunity to work with and learn from all eight partners.
The team advises a diverse range of clients, including entrepreneurs, management teams, owner-managed businesses, FTSE 100 companies, and institutions on various tax issues. The focus is on supporting significant corporate, private equity, and real estate transactions, alongside providing banking, project finance, financial services, and restructuring tax advice. The employee incentives team is part of this group, with some members having dual expertise in tax and share incentives work.
The Role
* Seeking an enthusiastic Associate capable of handling corporate M&A, private equity, property, finance, and employment-related tax work.
* Must be technically proficient and reliable, performing at a high standard as client delivery and transaction values are critical.
* Provide tax support to the corporate team on M&A, private equity, and other transactions, including drafting and negotiating tax documents, reviewing SPAs, and managing queries.
* Collaborate with other specialist teams, especially in real estate tax, liaising with the property team on sale, purchase, development, and property management issues.
* Experience in employee incentives work is a plus but not essential.
Knowledge, Skills, And Experience
Candidates should have at least 2 years of post-qualification experience or equivalent in a comparable tax practice, with solid understanding of corporate tax law, including M&A, PE, real estate, reorganizations, and lending transactions. Experience may be from in-house roles or accountancy practices, provided it includes tax-legal advice or law firm experience.

* Contribute to training and business development activities.
* Excellent communication skills to convey complex tax concepts clearly.
* Practical, precise, and clear advice on key legal areas.
