Venesky-Brown’s client, a public sector organisation in Edinburgh, is currently looking to recruit a Board Secretary for an initial 3 month contract, possibility of going permanent on a rate of £24.73/hour PAYE. This role will be based in Edinburgh - hybrid working will be considered. Candidates who can work 4 days a week will be considered.


Responsibilities:


- Provide advice to the Board and its Committees to facilitate good governance in relation to the proper exercise of the Board’s powers, including in relation to relevant legislation, compliance with the Financial Memorandum, Good Governance Code, Standing Orders and Scheme of Delegation and behaviour and conduct in relation to the Code of Conduct.

- Provide advice on any concerns relating to Board members having not been given sufficient information, information in an appropriate form or sufficient time to make an informed and rigorous decision in an open and transparent way.

- Take appropriate action if Board, Committee or any Board members appear to be at risk of acting outside their powers, in conflict with the organisation’s interests, or undertaking or proposing actions that may be unlawful.

- Act in an independent and impartial capacity to secure professional advice or undertake research on behalf of the Board and brief on relevant issues.

- Ensure that all documentation relating to corporate governance, including the Board’s Standing Orders, Scheme of Delegation, Code of Conduct, Committee remits and Registers of Interest, are regularly reviewed and kept up-to-date and are approved by the Board prior to publication.

- Draft briefing papers for the Board and correspondence.

- Report any unresolved concerns about the governance of the body to the relevant funding body.

- Manage the process of Board appointments, ensuring that the Board fully takes account of the Sector Board Appointments: 2014 Ministerial Guidance and ensuring that all Board members are kept up-to-date on progress.

- Act as Returning Officer for the election of staff members to the Board, ensuring that the procedures used are in accordance with legislation and staff have been consulted on these procedures as appropriate.

- Check the eligibility of current and prospective Board members in accordance with legislation.

- Prepare and issue terms of appointment for all Board members

- Carry out any other duties as required.


Essential Skills:


- Educated to HND level or equivalent or equivalent practical experience in the specialism

- Knowledge of the legislation pertaining to Governance of Public Sector Boards

- Knowledge of legislative obligations and best practice in Further Education

- Knowledge and experience of Board Management

- Previous experience of setting and monitoring governance arrangements and board reporting ensuring compliance with relevant legislation and governance requirements

- High level of organisational skills including the ability to recognise the wider implications of issues at strategic and operational level

- Highly developed management and leadership skills; ability to secure trust and respect of colleagues, staff, students and stakeholders and provide leadership and management to direct reports

- Competence in operational and strategic planning

- Ability to manage changing priorities, multiple challenges and demanding workload

- Ability to develop (where applicable) and clearly communicate strategy, vision, values and ideas and inspire commitment and alignment to these

- Ability to interpret complex documentation and information and assess implications for the organisation

- Demonstrate the ability to develop and maintain links with a broad range of internal/external partners

- Demonstrate an appropriate level of confidentiality and discretion around potential sensitive business.
