Deputy Company Secretary

Central Cambridge | £60,000 – £72,000 per annum + benefits

Full-time | Permanent | Hybrid Working (2 days per week in the office)


A leading organisation based in Cambridge, are seeking to hire a new Deputy Company Secretary. This is an exciting opportunity to take on a visible and impactful role within a highly respected organisation operating across multiple global jurisdictions.


Working as part of a collaborative team, the role will support the Secretary to the Board and play a pivotal role in delivering high quality advice, entity management oversight, and company secretarial services across the group. This is a full-time, permanent position offering hybrid working (around two days per week in the office), a competitive salary, and a comprehensive benefits package.


The Role

Reporting to the Secretary of the Board, the role will deliver pragmatic, timely and accurate company secretarial advice and support to stakeholders across the organisation. The role covers global entity management responsibilities, document drafting, compliance oversight and stakeholder guidance.


You will also contribute to the ongoing improvement of governance processes, working closely with colleagues in Finance, Tax, Legal and other Shared Services teams, as well as external advisers.


Key Responsibilities Include:

* Advising on and drafting company secretarial documents including incorporations, board resolutions, minutes, powers of attorney and other statutory records.
* Supporting the governance and compliance requirements of group entities worldwide.
* Drafting and reviewing bespoke and non-standard company secretarial documentation.
* Maintaining and implementing accurate company secretarial records, including through company secretarial software.
* Acting as a key contact to business stakeholders, interpreting statutory requirements into practical, actionable guidance.
* Identifying and prioritising work according to risk and business value.
* Driving improvements to processes, systems and governance practices.
* Collaborating with external advisers and regulatory bodies, including across international territories.
* Acting as a positive ambassador for the Company Secretarial team through training, presentations and internal engagement.
* Keeping up to date with company secretarial best practice, legislative updates and governance trends.


Skills & Experience

Knowledge & Experience:

* Three years’ plus experience in a company secretarial role (private practice, in-house, or within a specialist service provider).
* Strong experience in entity management, including overseas subsidiaries.
* Solid understanding of incorporations, company registrations, name changes and board support.
* Comfortable working in a complex, multi-jurisdictional corporate group.
* Degree or equivalent qualification.

Skills:

* Strong drafting ability with exceptional attention to detail.
* High quality administrative and IT skills, including experience with company secretarial software.
* Ability to work autonomously while keeping management informed.
* Able to manage multiple competing deadlines without compromising accuracy.
* Strong communication and relationship building skills at all levels.
* Team oriented, collaborative, and comfortable operating within a matrix organisation.
* High levels of professionalism, integrity and discretion.
* Ability to supervise junior colleagues, as required.


Package:

* Competitive salary (between £60,000 – £72,000 per annum, depending on experience).
