An exciting opportunity has become available for an experienced Legal Counsel to join our business. Reporting to the Head of Legal & Compliance for EMEA, the Legal Counsel will work with other members of the Legal Team and Senior Management, and provide support for a wide range of corporate, commercial and litigious legal matters. You will enable the business to deliver on its objectives and to minimise the risk, whilst remaining commercially minded and solutions focused.
Job Responsibilities
* Leading the drafting/reviewing and negotiating of a range of agreements on both the supply and purchase side, primarily as a contractor for long term service agreements and EPC agreements related to Mitsubishi Power Europe products and its affiliated companies.
* Providing advice on dispute resolution matters from both long-term service and EPC perspective.
* Support special projects and tasks and provide prompt in-house legal advice to management and employees of Mitsubishi Power Europe, Ltd to mitigate risks arising from Mitsubishi Power Europe, Ltd’s power generation business.
* Giving advice to senior management, executives and the Board of Directors regarding corporate governance matters.
* Assisting the Company Secretary in providing company secretarial services, including preparation of statutory documents and filings.
* Delivering legal training to the business in relation to existing agreements with key customers, subcontractors and relevant legal topics.
* Managing engagements with external law firms and ensuring firms comply with pre-agreed fee estimates.
* Act as a legal input and support to Mitsubishi Power Europe, Ltd’s compliance function including GDPR requirements, anti-bribery, export control, sanctions, conflicts of interest and other related matters.
* Deliver legal training to managers and employees of Mitsubishi Power Europe, Ltd and its affiliated companies on a variety of topics with the goal to develop stronger commercial and contractual awareness amongst colleagues outside of the Legal & Compliance function.
* Together with the Commercial department, manage the legal aspects of the global and local insurance programs including providing appropriate claims advice (where needed).
Person Specification
* Based in our London, Head Office. There will be a requirement to travel to our other offices (UK & Overseas) as needed.
* Education/qualifications: Proven and related experience and training, or equivalent combination of education and experience with at least 2 years PQE or equivalent (number of years PQE is indicative only).
* Licence to practice law in England & Wales.
* Fluency in business English.
* Computer knowledge and mastery of common software packages for office work (for example, Microsoft Office suite of products).
* Thorough and up-to-date understanding of business/commercial laws and issues.
* Experience of drafting, reviewing and negotiation of complex contractual arrangements, particularly in relation to long term service arrangements and EPC.
* Ability to manage busy workload efficiently and respond to urgent business requests.
* Ability to work as part of a team and in a collaborative and dynamic manner.
* Cross border experience of different jurisdictions within the EMEA region; and working within an in-house legal team.
* Experience of the following would be advantageous but is not essential: Supporting / leading innovation projects within legal departments particularly in relation to legal tech and process improvements.
