We are now seeking an experienced Assistant Company Secretary to join our Group Legal function on a maternity cover contract. This is a pivotal role supporting our Group General Counsel & Company Secretary, senior executives, and Board, delivering high‑quality governance and company secretarial services across the Boldyn Group.
The Opportunity
As Assistant Company Secretary, you will play an integral role in ensuring smooth governance operations across a complex international group structure. You’ll administer key systems, support Board and Committee activities, manage filings, and maintain statutory records.

Key Responsibilities
Board & Committee Support
1. Assist in the timely preparation, compilation, and distribution of Board and committee papers across the Boldyn Group using Diligent Boards.
2. Act as primary administrator for Diligent Boards, including access control, onboarding, resource updates, archiving, and creation of new committees.
3. Draft Board papers, minutes, and circular resolutions for Group companies.
4. Coordinate meeting logistics in partnership with Corporate EAs.
Entity Management & Regulatory Filings
5. Maintain statutory records using Diligent Entities, acting as system administrator for all Group companies.
6. Manage company changes, onboard new users, and ensure entity data integrity.
7. Prepare, research, and file statutory submissions with relevant authorities, ensuring all deadlines are met.
Legal & Corporate Administration
8. Serve as primary administrator for DocuSign, including permissions and user onboarding.
9. Support Group Finance with document provision for audits, financial statements, budgeting, and KYC requests.
10. Oversee Group Legal contract databases and manage permissions within the Group’s electronic document management system.
11. Track contracts requiring execution and coordinate approvals.
12. Draft correspondence, proofread documents, and support presentation preparation.
General Support
13. Manage diary requests, meeting coordination, and administrative support for the Group General Counsel & Company Secretary.
14. Process invoices and expenses using Workday.
15. Maintain strict confidentiality and support ad-hoc governance or legal tasks.
16. Stay up to date on company announcements and business developments.

17. Seamless support for Board and governance cycles across the Group
18. Positive feedback from stakeholders on responsiveness and accuracy
19. All regulatory filings completed on time
20. Successful embedding of Diligent Entities across Group Legal, Group Finance, and local legal teams
About You
Experience & Qualifications
21. 5+ years’ company secretarial experience
22. Company secretarial or governance‑related certification (e.g., ICSA/CGI or equivalent)
Technical Skills
23. Advanced experience using Diligent Boards, Diligent Entities, and DocuSign (administration level)
24. Strong Microsoft Office skills (Word, Excel, PowerPoint, Outlook)
25. Proven ability to produce well‑structured, polished documents and presentations
26. Strong accuracy, organisational skills, and attention to detail
27. Working knowledge of legal terminology and practices
28. Experience with SharePoint is highly advantageous
