The primary focus of the role will be to ensure that the SPV obligations are appropriately discharged and the scope of services within the Management Services Agreement effectively performed, across projects during construction and operational phases. Specific operational responsibilities include: General Provide general management, construction management and operations management services to Project Co. Seek to act at all times in the best interests of the Project Co in dealings with the Client, the Sub-Contractors, Service Providers and advisors. Attend meetings upon reasonable notice (as reasonably requested by the Shareholders, Project Co or the Client) related to the provision of the Project (including acting as the "Project Company Representative"). Policies and Procedures Develop and implement all policies and procedures required by Project Co including those required under the Shareholders' Agreement; and ensure compliance by Project Co with all agreed policies. Act as principal contact with the Client and others for Project Co; develop and implement procedures for routine communications between project parties; develop and implement procedures for the monitoring of project processes; develop and implement procedures for the communication of serious untoward incidents or accidents; develop and maintain a business continuity plan all in accordance with the Project Documents. Develop effective working relationships with all project parties. Attend any good faith discussions between the project parties to mitigate or resolve potential disputes. Operations & Construction Management Working with the EMS team to ensure the successful design, completion and commissioning of Projects in accordance with the requirements of the Project Documents. Monitoring construction activities and ensuring compliance with good working practices and the relevant standards. Monitoring and reporting on progress of delivery against the agreed programme. Monitoring and reporting on health and safety matters. Identifying, evaluating and managing project risks. Assisting with managing change pursuant to the Project Documents. Assisting with managing any project issues to conclusion. Undertake regular monitoring and reporting of operations and maintenance activities including reactive maintenance works, based upon information provided by the Sub-Contractors or Service Providers, the management information system and the Independent Certifier; manage relationships with the Technical Advisor and Independent Certifier; monitor development of the Sub-Contractors or Service Providers mobilisation plans; manage ad-hoc technical expertise as required by the board. Use reasonable endeavours to ensure compliance with, and to manage Project Co’s obligations under the Project Documents. Arrange, review and maintain the operational insurances. Review and challenge the lifecycle planning and asset management proposals received from the Service Provider. Management of Sub-Contractors and Service Providers Monitor compliance of the Sub-Contractors or Service Providers under the Sub-Contracts. Monitor the performance of all third parties under contract to Project Co. Monitor the development, implementation and operation by all third parties under contract to Project Co of necessary policies and procedures for the delivery of services under the Project Documents. Receive and review monthly performance reports from the Sub-Contractors / Service Providers; prepare the required reports for the Client in support of the monthly invoice; attend progress meetings with the Sub-Contractors / Service Providers and Client and manage any shortfalls in performance. Manage preparation and distribution of a project schedule of deliverables; prepare a project calendar to ensure that all deliverables are met; arrange for the development and implementation of a quality management policy and agreed procedures for Project Co. Circulate Information Develop and implement reporting formats for all project reports; develop and agree the format, programme and standard agendas for project review meetings; develop and agree records management systems; develop and implement procedures for authorisation and commitment of expenditure, including payments to the Sub-Contractors / Service Providers; carry out the resolutions, decisions and directions of the directors in relation to Project Co in general, and without prejudice to the foregoing generality, carry out matters as directed in connection with decisions made under the Shareholders' Agreement. Advise and liaise with the directors of Project Co on all matters as appropriate; develop and agree the format of management reports to the board; develop and maintain project risk management and reporting procedures. Commercial Support Provide commercial support to Project Co in relation to matters arising in the ordinary course of Project Co’s business, including interpretation of the payment mechanism, evaluating deductions and performance against Performance Standards. Prepare the information to be provided by Project Co pursuant to the Credit Agreement or other Finance Documents. Provide such further information as any Shareholder may, from time to time, reasonably require relating to the business, affairs and financial position of Project Co. Additional Ad Hoc Duties
