Purpose of the Job Your broad responsibilities will be to assist in all day to day activities connected with the corporate administration of HH Global’s legal entities world-wide. You would join our wider Legal Team of c20 and sit specifically in the global Company Secretarial team of 5. The role is to be based in our offices in London, Wakefield or Basingstoke with a blended working model. Key Responsibilities Assist in day to day activities of the corporate administration and corporate compliance of HH Global’s legal entities world-wide Liaise with external providers for all of HH Global’s UK and non-UK legal entities Ensure timely preparation and filing of all required corporate resolutions and other corporate secretarial documents (supported by external providers for non-UK entities) Support required formal annual / quarterly board / shareholder meetings and filing of annual returns and accounts for all legal entities, as required by law (supported by external providers for non-UK entities) Support changes to legal entities, such as change of registered address, change of directors, registration of PoAs, etc Effectively communicate with external corporate secretarial providers and internal stakeholders Obtain digital signatures, wet signatures and notarized documents as necessary from authorized signatories Draft resolutions, powers of attorney and other corporate administrative documentation as necessary (supported by external providers for non-UK entities) Keep a central record of all of HH Global’s legal entities and ensure corporate information is well organised and made available to business stakeholders in an efficient manner Maintain and update company entity management software Develop new and more efficient workflows Knowledge, Skills Experience Law degree or some Company Secretary qualification in the UK or equivalent qualification in other jurisdiction Ideally, some experience within corporate administration or company secretarial activities Knowledge / understanding of company law and underlying principles Internationally minded; able to apply corporate law principles across different jurisdictions Excellent English communication skills and additional languages could be an advantage Experience in maintaining and updating company entity management software (we use GEMS) Self-motivated, able to multitask, prioritize and work accurately Meticulous attention to detail and passion for compliance work Able to build strong working relationships with stakeholders at various levels Professional, inspires confidence with people Confident in verbal and written communication Creative but practical approach to problem solving Able to confidently influence individuals when required Flexible and capable of working with multiple projects at the same time Confident, tenacious, resilient and enthusiastic PC literate, comfortable using Word, Excel and PowerPoint LI-PL1 LI-Hybrid
