Job Description
This is a hands-on governance role at Group level, ideal for an experienced Company Secretary or governance professional who enjoys operating at the centre of a complex, regulated organisation.
You’ll be responsible for company secretarial and governance support across a diverse group of UK entities, including FCA-regulated businesses, working closely with the Group General Counsel and senior leadership. The role also includes acting as Secretary to the Group’s charitable foundation.
What you’ll be doing
* Acting as Company Secretary for multiple UK entities
* Managing all statutory filings, registers and Companies House requirements
* Organising, attending and minuting Board and Committee meetings
* Supporting governance requirements for FCA-regulated entities, including SMCR administration
* Maintaining corporate records, structure charts and governance calendars
* Supporting governance projects, restructurings and ad-hoc initiatives
* Acting as Secretary to the Group’s charitable foundation
What they’re looking for
* Strong prior experience in a UK company secretarial or governance role
* Solid understanding of the Companies Act 2006 and UK governance principles
* Experience supporting regulated businesses (FCA exposure highly desirable)
* Excellent minute-taking and attention to detail
* Organised, proactive and confident dealing with senior stakeholders
* CGI / ICSA qualification (or working towards) is desirable but not essential
