This is a full-time position based in London, supporting ASE’s M&A and project finance teams.
Job Responsibilities:
1. Proactively and autonomously provide legal support to the corporate business relating to solar projects.
2. Serve as the go-to person for all M&A legal matters and support project finance transactions.
3. Negotiate and finalize SPAs and related agreements with external counsel.
4. Negotiate and finalize facility agreements, security documents, and ancillary agreements with external counsel.
5. Manage M&A due diligence and Q&A processes.
6. Oversee transaction closing processes.
7. Participate in other stages of the project lifecycle, including SPV incorporation, land agreements, construction, O&M, and PPAs.
8. Assist in reviewing commercial contracts such as NDAs, LOIs, exclusivity agreements, JV agreements, and consultancy agreements.
9. Monitor legislative changes and assess their impact on development pipeline and future focus.
10. Instruct and manage external legal advisors.
General Responsibilities:
1. Develop procedures and a knowledge base to promote best practices within the company.
2. Supervise and mentor junior team members.
3. Build a network within the renewable energy sector.
4. Report on legal project and transaction status, progress, timelines, quality, and risks to senior management.
Requirements:
1. 3-5 years of PQE, with experience in M&A or project finance law, preferably in renewable energy.
2. English qualified lawyer preferred; candidates qualified in other jurisdictions will be considered.
3. Energetic legal specialist supporting business growth and legal compliance.
4. High interest and understanding of solar projects.
5. Strong negotiation, influencing, and commercial skills.
6. Excellent communication skills for engaging with diverse stakeholders.
7. Flexible, creative, entrepreneurial, with a positive attitude and ability to work under pressure.
8. Self-driven, capable of working independently and in teams.
9. Fluent in spoken and written English; German language skills are a bonus.
10. IT literacy, including proficiency with Microsoft Teams, SharePoint, Word, Excel, and PowerPoint.
11. Willingness to travel occasionally to Germany and the Netherlands.
