A highly regarded Lloyd’s market insurer is seeking an experienced Interim Assistant Company Secretary / Governance Manager to join their legal and governance team. This is a key interim role supporting the smooth operation of the Group’s governance framework, board and committee meetings, and regulatory compliance.
You’ll work closely with the Head of Legal and Company Secretary, providing high-quality company secretarial and governance services across the business and to clients, while also mentoring junior team members.
Role Responsibilities:
* Manage the full lifecycle of board and committee meetings, including agendas, papers, minutes, and action tracking.
* Ensure timely and accurate filings with the FCA, PRA, Lloyd’s, and Companies House.
* Maintain a comprehensive library of governance policies and procedures, ensuring compliance with legal and regulatory standards.
* Provide company secretarial services to internal stakeholders and external clients.
* Review contracts and support ad-hoc legal and governance projects.
Requirements
* Qualified Company Secretary (ICSA/CGI) or Solicitor (England & Wales).
* Around 5 to 10 years of relevant industry expereince.
* Experienced in dealing with company secretarial procedures and statutory requirements for all standard statutory returns and filings, amendments to articles of association, share capital reorganisations, and share issues and transfers.
* Extensive experience in minute taking and ability to produce minutes in a technically challenging environment.
* Knowledge of Diligent Entities, Diligent Boardbooks.
