We are looking for a skilled and experienced Corporate Solicitor to join our dynamic Legal Service Team.
In this key role, you will provide expert legal advice to companies, partnerships, directors, shareholders, and partners regarding their rights, responsibilities, and obligations. You will also play a vital role in supporting corporate agreements and managing business transactions.
Key Responsibilities
Your day-to-day activities will include:
* Building and nurturing strong client relationships, gaining an in-depth understanding of their business, and identifying opportunities for cross-selling other group services.
* Maintaining your own portfolio in line with experience, participating in client meetings, and ensuring all work adheres to SRA and other compliance requirements.
* Running and building your own case load in line with your experience from the start, participating in client meetings, providing guidance to junior team members and providing constructive feedback for improvements.
* Collaborating with the Directors to identify key areas for discussion and enhancement.
* Handling administrative duties such as supervising junior members of the team, assisting with training and developing the junior members of the team and ensuring the accuracy of all work completed by yourself and team members.
* Oversee and develop team members by setting objectives, conducting performance reviews, and providing guidance and constructive feedback.
* Manage all finance and budgetary aspects for your portfolio, including timely billing, monitoring Work in Progress (WIP), ensuring recoverability targets are met, tracking debtors, and supporting cash collection.
* Offering legal advice and assistance to current clients while actively developing new client relationships.
* Ensuring all casework adheres to SRA and other compliance requirements.
Technical Expertise

* Drafting shareholders' agreements and partnership agreements.
* Drafting documents relating to multi-step reorganisations such as capital reduction mergers, share-for-share exchanges, gifts of shares, and distributions in specie.
* Drafting articles of association, including for Owner Managed Businesses, Joint Ventures, and Property Management Companies.
* Advising on EMI schemes, option agreements/plans, and amending articles.
* Handling share purchases and sales, preparing agreements, advising on warranties, drafting disclosure letters, assisting clients with due diligence, and preparing ancillary documents.
* Managing capital reductions/demergers, drafting resolutions, solvency statements, and compliance documents.
* You will be expected to have the experience and competence to produce first document drafts for review with minimal supervision
About You
To succeed in this role, you should have:
* A minimum 2:1 Law degree.
* Be a qualified corporate solicitor with up to two years post qualification experience (although other PQE will be considered)
* The ability to work independently, demonstrating high-quality standards and in-depth corporate law expertise.
* Proficiency in Microsoft Office 365, including Word, Excel, and Outlook, as well as familiarity with case management software (Leap) and ability to competently use DocuSign and electronic data rooms.
* We are willing to consider a fully remote role, or offer a space to work in any of our offices in Boston, Derby, Grantham, Lincoln, London, Loughborough, Melton Mowbray, Newark, Skegness, Sleaford, Spalding or Stamford.
