About the role
Hargreaves Lansdown (HL) are recruiting for the Senior Assistant Company Secretary to join the team. In March 2025 HL was acquired by CVC Capital Partners, Nordic Capital and Abu Dhabi Investment Authority. The Company is moving from a listed plc to a privately owned company and will undergo a period of governance change, in which the Senior Company Secretary will be a main contributor.
* Lead and manage the Company Secretarial team and provide the full range of company secretarial and governance services to the Group.
* Support the General Counsel & Company Secretary in governance activities.
* Focus on governance and management of allocated Boards, Board committees and executive level committees.
* Build strong relationships with all directors (iNEDs, shareholder appointed NEDs and Executives).
* Collaborate with Committee Chairs, members and stakeholders to embed HL's governance framework.
* Maintain UK statutory records and required filings.
What you'll be doing
You will support the wider team in delivering a full company secretarial and governance service to the Group, including subsidiaries. This will include:
* Close liaison with Chairs, Board / Committee members and business partners on all aspects of effective decision making.
* Assist with assessing technical and soft skills training needs for Board / Committee members and explore ways to collaborate with the business to enhance the governance journey.
* Assist with the collation, production and distribution of Committee papers, continually seeking ways to improve the service offered by the Secretariat team.
* Involvement with the production, approval and filing of the parent and subsidiary company Annual Report and Accounts.
* Ensure compliance with the Wates principles of governance and the Private Equity Reporting Guidelines.
* Maintain UK statutory company records, make timely filings with Companies House and ensure information is accurate.
* Maintain Company Secretariat records using electronic filing systems including Diligent Entities.
* Prepare minutes of subsidiary company Board and Committee meetings to a high and consistent standard.
* Lead and manage all other members of the Company Secretarial team.
About you
* Experience of working within financial services and liaising with stakeholders at all levels.
* Fully qualified via the Chartered Governance Institute or another professional equivalent qualification (e.g., Legal or Accountancy).
* Knowledge of Companies Act, UK Corporate Governance Code and experience working with Companies House and the Financial Conduct Authority.
* Proven experience of effective people management.
* Excellent IT, written and verbal communication skills.
* Experience of supporting Committees / Boards and taking minutes.
* Ability to work in a team or alone, collaborate broadly, self-manage competing workloads, and prioritise to meet timescales.
* Problem-solving skills with the ability to develop pragmatic solutions and resolve complex issues.
* Continuous improvement mindset, openness to challenge, and willingness to learn and contribute.
* Positive team member who looks to develop both the team and self, adding value.
Interview process
This will be a two-stage interview process, including competency and behavioural based questions and an assessment.
Working Schedule
The role is based in our Bristol head office, BS1 5HL, with some travel to London for meetings. This is a permanent, full-time role (37.5 hours per week, Monday to Friday). We operate a hybrid flexible working pattern.
