Job Description
The Legal Counsel will be:
3. Leading on investment transactions, preparing and negotiating documentation including agreements, articles, and shareholder materials.
4. Advising on loan instruments, security, and related corporate finance matters.
5. Providing guidance on corporate governance, compliance, and risk management.
6. Offering wider legal input on commercial contracts, data protection, IP, insolvency, and employment issues.
7. Supervising and mentoring a junior paralegal.
8. Managing external counsel relationships and overseeing outsourced work.
9. Supporting company secretarial responsibilities and contributing to internal training.
The Successful Applicant
The Legal Counsel should be:
10. A solicitor or equivalent with 5+ years PQE, ideally with corporate transactional expertise.
11. Experienced in venture capital, private equity, or M&A, with knowledge of EIS/VCT investments an advantage.
12. Skilled in corporate governance and company secretarial work.
13. Commercially minded with the ability to draft, review, and negotiate a variety of commercial agreements.
