Role Overview
Assist the Secured Finance investment desk and other desks on a wide range of asset‑backed securities (ABS), including SME, consumer loans, leases, credit‑card receivables, CLO, RMBS, CMBS, trade receivables, supply‑chain finance, regulatory‑capital trades, warehouse deals and esoteric structured‑finance transactions, primarily in privately placed, unlisted note format. Oversee Insight and its clients' compliance with all EU and UK Securitisation Regulation matters.
Role Responsibilities
* Advise on and review term sheets for new securitisation structured‑finance transactions.
* Structure, review and negotiate transaction documents, including the security package, across UK and cross‑border or multi‑jurisdictional deals.
* Evaluate legal risk, communicate it to the investment desk and ensure mitigation in the documents.
* Liaise with and instruct external counsel/advisors in multiple jurisdictions.
* Coordinate and supervise external counsel work and handle internal legal sign‑off on transaction documents.
* Oversee transaction closings from the legal perspective.
* Support the investment desk with legal queries related to existing and potential new investments.
* Provide legal assistance on all lifecycle elements (amendments, waivers, restructurings, etc.).
* Ensure EU/UK Securitisation Regulation compliance and keep abreast of regulatory changes.
* Collaborate with internal stakeholders (legal, risk, compliance, tax) to ensure compliant legal advice.
* Offer general, ad‑hoc advice on securitisation and structured‑finance transactions.
Experience Required
* England and Wales qualified lawyer with 8+ years PQE in structured finance and securitisation, gained at a leading law firm, preferably with asset‑management or financial‑institution experience.
* Significant experience advising on structured‑finance transactions and understanding of asset‑backed lending structures, including private securitisations and warehouse facilities.
* Fluency in applying UK/EU Securitisation Regulations to public and private transactions within a European asset‑management context.
* Ability to manage time‑sensitive matters and multitask in a fast‑paced environment.
* Skill to explain complex legal matters straightforwardly to non‑lawyers.
* Independent negotiating skills and strong relationship management.
* Excellent written and verbal communication.
* Team‑oriented, collaborative, positive, and enthusiastic.
* Excellent judgment and pragmatism.
