Role Description
This is a
voluntary
role for a Trustee.
Our board of trustees bring a wide ranging set of skills, knowledge and experience that help us to ensure that the work we're doing best serves LGBTQ+ young people, those supporting them, and the wider LGBTQ+ community. Trustees are responsible for providing appropriate oversight, governance and leadership to The Proud Trust in the pursuit of its strategies to fulfil its charitable purposes. Trustees will evaluate the performance of the leadership team in meeting agreed goals and objectives and monitor the reporting of performance in key areas.
The Trustee will be responsible for overseeing the strategic direction and governance of The Proud Trust. Tasks include attending and participating in board meetings, ensuring financial stability, supporting fundraising efforts, and upholding the organisation's mission and values. The charity is located in the Manchester, United Kingdom, with a national reach.
Time Commitment
● Quarterly board meetings at The Proud Place (can be joined online)
● Online quarterly sub-committee meeting
● Attendance at one staff day per year
● Attendance at one The Proud Trust event per year

Qualifications
* Strong Governance and strategic planning skills
* Experience in financial oversight and fundraising
* Knowledge of the LGBTQ+ community and related issues

* Prior experience in a trustee or similar leadership role is a plus

Responsibilities Trustee (all):
● Support and provide advice on The Proud Trust's purpose, vision, goals and activities.
● Approve operational strategies and policies, and monitor and evaluate their implementation.
● Oversee The Proud Trust's financial plans and budgets and monitor and evaluate progress.
● Ensure the effective and efficient administration of the organisation.
● Ensure that key risks are being identified, monitored and controlled effectively.
● Review and approve The Proud Trust's financial statements.
● Provide support and challenge to The Proud Trust's CEO in the exercise of their delegated authority and affairs.
● Keep abreast of changes in the external environment which may affect The Proud Trust.
● Contribute to regular reviews of The Proud Trust's own governance. Attend Board meetings, adequately prepared to contribute to discussions.
● Use independent judgment, acting legally and in good faith to promote and protect The Proud Trust's interests, to the exclusion of their own personal and/or any third party interests.
● Contribute to the broader promotion of The Proud Trust's objects, aims and reputation by applying your skills, expertise, knowledge and contacts.
Finance Lead/ Treasurer (additional duties):
● Ensuring that proper accounting records are kept, and that appropriate accounting procedures and controls are in place.
● Ensuring that robust and comprehensive financial policies are in place and being implemented, and supporting the development of policies covering financial reserves, and cost management.
● Monitoring and advising on the financial viability of the charity.
● Overseeing financial controls and adherence to systems, regularly liaising with the Chief Executive and Finance team.
● Advising on the financial implications of the charity's strategic plan, including overseeing the charity's financial risk-management process.
● Lead on the appointment of and liaison with external auditors.
● Ensuring that the accounts are prepared and disclosed in the form required by relevant statutory bodies, for example, the Charity Commission and the Registrar of Companies.
● Keeping the board informed about its financial duties and responsibilities and liaising with the Chief Executive to develop the financial understanding of the Board of Trustees.
Secretary (additional duties):
● Primary responsibility for the smooth and efficient running of meetings of the trustee board and any sub-committees, providing assistance and support to the chair of the board of trustees.
● Ensuring that all decisions made by the trustees are in accordance with the governing document, reflect the objects of the charity, and continue to provide public benefit.
● Ensuring that other meetings such as AGM, and events are properly administered To monitor committee member action points.
