Eaton Syalon has been retained by a high-growth, listed SaaS business to appoint its first dedicated In-House Legal Counsel in the UK. With operations across the UK, US, Europe, and Asia Pacific—and a dynamic, ambitious culture—this role offers breadth, autonomy, and visibility across the business. The Opportunity: You’ll report into the CFO and work closely with stakeholders across legal, commercial, finance, HR, and compliance, becoming a trusted advisor as the business continues to scale. Key Responsibilities: Drafting and negotiating a wide range of commercial agreements (SaaS contracts, supplier terms, NDAs, partnership agreements) Supporting corporate and employment law matters, including restructures and internal policies Providing practical legal guidance on day-to-day matters with a commercial lens Supporting UK data protection compliance and liaising with external advisers where required Collaborating with global teams on cross-border legal and contractual issues Helping shape internal legal processes and policies Act as Company Secretary for the UK listed entity. Support the Board and its Committees, ensuring compliance with UK corporate governance requirements and disclosure obligations. Draft board materials, maintain statutory registers, and coordinate filings with Companies House and the London Stock Exchange. Organise and attend Board and Committee meetings, and ensure accurate minute-taking and record-keeping. About You: A qualified solicitor (England & Wales), ideally with 2–5 years PQE Currently in private practice (or recently moved in-house), ready to step into a broad commercial legal role Experienced in advising tech/SaaS or high-growth companies (or eager to do so) A strong communicator with commercial awareness and the confidence to work independently Keen to be part of a supportive, agile business that values legal as a strategic enabler Company secretarial exposure is helpful but not essential — there is flexibility to support development in this area.
