Senior Company Secretary (Global Financial Services)

The Role
We are seeking a highly experienced and commercially-minded Company Secretary to join our London-based Secretariat team. Reporting to the Group Company Secretary, you will be responsible for providing high-level governance advisory and secretariat support to our UK and international boards and committees.
This is a critical role for an individual who thrives in a fast-paced, highly regulated environment and can act as a trusted advisor to senior executives and non-executive directors.
Key Responsibilities
Board & Committee Management: Lead the end-to-end administration for principal boards and sub-committees (Audit, Risk, Remuneration), ensuring high-quality agenda planning, paper distribution, and precise minute-taking.
Governance Advisory: Act as a primary point of contact for directors on corporate governance best practices, including compliance with the UK Corporate Governance Code and FCA/PRA regulatory requirements.
Entity Management: Oversee a portfolio of global entities, ensuring all statutory filings are accurate and submitted on time across multiple jurisdictions using entity management software (e.g., Diligent, GEMS).
Strategic Projects: Provide governance support for corporate transactions, including domestic and international M&A, legal entity rationalisation, and internal restructurings.
Stakeholder Liaison: Manage relationships with internal stakeholders (Legal, Risk, Compliance) and external regulators/auditors to ensure a unified approach to governance.
Director Induction & Training: Coordinate the onboarding of new Non-Executive Directors (NEDs) and maintain a rolling programme of professional development for the Board.
Requirements
Qualification: Fully qualified Chartered Secretary / Governance Professional (ACG or FCG) is desirable. A legal or finance degree is highly desirable.
Experience: Minimum 6–8 years of experience within a company secretarial function, ideally within Banking, Insurance, or Asset Management.
Technical Knowledge: Deep understanding of the Companies Act 2006, Listing Rules, and the UK Corporate Governance Code.
Communication: Exceptional drafting skills with the ability to summarize complex discussions into clear, actionable minutes and reports.
Presence: Proven ability to influence and build credibility with C-Suite executives and Board members.
