Role We are looking for an experienced Legal M&A Counsel to join our SaaS Legal team. You will lead the legal stream for our M&A transactions across Europe together with the SaaS General Counsel. You will work closely with the SaaS General Counsel and collaborate with colleagues in M&A, PMI, tax, and finance on a daily basis. You will be supported by a Junior Legal M&A Counsel, for whose further development you will be responsible.
Key Responsibilities
* Lead the legal stream for the group’s M&A transactions (share and asset deals) end-to-end
* Draft and negotiate transactional contracts (SPAs, SHAs, APAs, management agreements, earnout agreements, …)
* Coordinate legal due diligence processes
* Drive process optimisations together with the M&A, tax, and finance teams
* Manage and coordinate internal and external legal advice on transactional matters
Requirements
Education & Professional Background
* Law degree from a recognized institution
* Minimum 5+ years of M&A legal experience
* Qualified lawyer
Technical Skills
* Solid background in M&A and experience with leading legal M&A processes
* Self-driven, proactive, and collaborative working style
* Analytical and pragmatic mindset
* Strong organisational and prioritisation skills
* Ambition to take full responsibility for all transactional matters within the group
Language Requirements
* Fluent in English (working language) + at least one other European language

* Commercial mindset with understanding of business operations
