SENIOR LEGAL COUNSEL/LEGAL DIRECTOR SINGLE FAMILY OFFICELONDONPERMANENT ROLERole Overview:Our client, a large-scale, international single-family office of prominent tech entrepreneurs, based in London, is seeking a Senior Legal Counsel/Legal Director to join their team.This new role will report to the existing General Counsel in advising the busy family office on a range of matters including wealth management (a multi-asset portfolio of public and private investments), private client, corporate governance (company secretarial), regulation, employment, philanthropy, real estate, and tax.The ideal candidate will have qualified at a top-tier law firm in London, have between 5-10 years of post-qualified experience and will have spent some time in-house in a family office environment.Key Accountabilities:Transactional / Wealth Management:
* Review, negotiate and manage legal documentation for private fund and direct investments, including LPAs, subscription agreements, side letters, co-investment and shareholder agreements.
* Coordinate with investment teams and external counsel to ensure smooth transaction execution.
* Analyse legal implications of investment structures (particularly around tax), financing arrangements, and exits across jurisdictions.
Corporate and Regulatory:
* Maintain records of all corporate documentation and ensure highest standards of governance and compliance across the family's operating and holding entities.
* Draft and review constitutional documents, board resolutions, NDAs and intra-group arrangements.
* Review, negotiate and manage a significant volume of commercial contracts including third party supplier terms, vendor contracts, consultancy agreements, etc.
* Support legal aspects of employment matters, data protection and service provider relationships.
Trusts, Foundations and Estate Structures:
* Work with external advisors to maintain and review trust, foundation and holding structures used for estate, philanthropic and wealth planning purposes.
* Advise on charitable donations including grant agreements for restricted and unrestricted charitable grants.
Coordination and Advisory:
* Assist the General Counsel with managing relationships with external law firms, tax advisers, fiduciaries and trustees.
* Provide timely and pragmatic advice to principals and senior team members on a wide range of legal matters.
* Support internal coordination across investments, finance, tax, HR and philanthropy functions.
