Job Description
Our client is seeking a talented and motivated Corporate Associate (2–4 years PQE) to join their Cheltenham office. This role offers the opportunity to work within a market-leading Corporate team advising on a broad range of complex and high-value corporate transactions. The successful candidate will gain exposure to both domestic and cross-border deals, working closely with their Partners, who lead practices spanning private equity, M&A, corporate finance, and public securities.

Key Responsibilities
* Advise on a wide range of corporate transactions, including mergers and acquisitions (public and private), private equity investments, joint ventures, IPOs, and securities offerings on the Official List and AIM.
* Draft, review, and negotiate key corporate documents, including SPAs, shareholder agreements, investment agreements, and disclosure letters.
* Manage a varied and complex caseload with appropriate supervision.
* Work collaboratively with colleagues across departments and support the development of junior team members.
* Contribute to business development initiatives and help identify new opportunities with existing and prospective clients.
* Keep up to date with changes in the law and contribute to internal knowledge-sharing initiatives.
* Deliver high-quality, commercial advice tailored to clients’ needs.
Requirements
* Qualified solicitor in England & Wales (or equivalent) with 2–4 years of post-qualification experience in corporate law.
* Strong experience in corporate transactional work, particularly in M&A and private equity.
* Excellent drafting skills and attention to detail.
* Commercial acumen with the ability to understand clients’ business objectives.
* Strong organisational and project management skills; able to handle multiple matters efficiently under pressure.
* Excellent interpersonal skills and the ability to work effectively with colleagues and clients at all levels.
* A proactive, self-motivated approach and a willingness to contribute to the wider success of the team.
* Ambition to progress to Senior Associate and beyond.
