Our client, a FTSE 100, is seeking a Senior Company Secretarial Assistant to join their team on a permanent basis.
As a key member of the Company Secretarial function, you will advise on a broad range of plc governance, Listing Rules and market disclosure obligations, providing high-quality, timely and professional support to the team and key stakeholders. You will play an important role in supporting the Board and Committees, ensuring compliance with applicable regulatory requirements and delivering an excellent company secretarial service to the organisation.
This is a role within a high-performing Company Secretarial team, where you will work closely with senior stakeholders across the business.
Key Accountabilities:
* Support compliance with the UK Listing Rules, Disclosure Guidance and Transparency Rules and Market Abuse Regulation, including assistance with market announcements and ongoing disclosure obligations
* Provide company secretarial support to the Board and Committees, including meeting coordination, agenda planning, and preparation of high-quality board papers and minutes
* Assist with the delivery of the Annual Report and Accounts, ensuring compliance with relevant regulatory and corporate governance requirements
* Support the organisation’s AGM and other shareholder-related activities, including preparation of notices, proxy processes and shareholder communications
* Maintain and enhance governance processes, policies and procedures in line with best practice and regulatory developments
* Monitor regulatory developments and support the implementation of changes impacting plc governance and reporting obligations
* Provide support to the team in delivering ad hoc strategic objectives and governance-related initiatives
About You
* Experienced in company secretarial and corporate governance within a listed environment
* Strong understanding of UK Listing Rules, Disclosure Guidance and Transparency Rules, and broader corporate governance requirements
* Experience supporting Boards and Committees in a complex organisation
* High attention to detail with strong analytical and problem-solving skills
* Excellent organisational and stakeholder management skills
* Proactive, collaborative and confident working in a fast-paced environment
