The Senior Assistant Company Secretary will provide technical and administrative support to the Deputy Company Secretary, helping to ensure the Group complies with corporate governance and statutory requirements.
Responsibilities
* Meeting support: prepare agendas, draft papers, compile board packs for Board and Committee meetings; assist with meeting minutes for Board Committees.
* Governance: support the Deputy Company Secretary in driving governance excellence and developing governance policies, procedures and practices.
* Subsidiary compliance: oversee meetings and statutory compliance for subsidiary companies, minute taking and drafting of resolutions; assist with maintenance of statutory records and filings.
* Record keeping: maintain accurate records of corporate actions in online portals and electronic databases, including resolutions and minutes.
* Other tasks: assist with compliance queries related to the Group Delegation of Authority; assist with technical disclosures for annual Group and subsidiary accounts; support reporting requirements (Payment Practices, Modern Slavery) as needed; manage Know Your Customer and Ultimate Beneficial Owner requests.
Qualifications
* Lawyer or Chartered Governance Institute qualification with extensive experience in a company secretarial role.
* High level knowledge of corporate governance principles and statutory requirements.
* Strong organisation and attention to detail; excellent communication and written skills.
* Ability to deal with senior stakeholders.
* Proficiency in Microsoft Office Suite and other relevant software.
* Ability to work independently and as part of a team.
* Experience with company secretarial software and databases (e.g., Board Intelligence, Diligent) essential.
