The Aegon UK Company Secretariat services the needs of the Boards and relevant Committees by providing the full range of company secretarial support. As Assistant Company Secretary you will support the Deputy Company Secretary, General Counsel and Company Secretary in ensuring the smooth running of the Boards and Committees, good corporate governance and compliance of all Group Companies with the Companies Act as well as all other legal and regulatory regimes, with support from Group Legal and Regulatory Risk as necessary. Key Responsibilities: Supporting the General Counsel and Company Secretary and the Deputy Company Secretary in setting Board/Committee agendas, managing board papers, and tracking action items. Coordinating with the Governance Assistant to ensure smooth operations before, during, and after Board/Committee meetings. Drafting and circulating minutes for Boards/Committees, incorporating feedback until final approval and signature. Maintaining company records (hard copy and electronic), ensuring timely filings with Companies House, and managing LEI renewals. Updating governance documents including terms of reference, signatory lists, delegated authority matrix, and Directors Interest Register. Assisting the Deputy Company Secretary with ad hoc governance projects like Board Effectiveness Reviews. We’d love to hear from you if you have: Demonstrable experience of working with Senior Managers and Executive level in a Company Secretariat function. Strong interpersonal skills, necessary to communicate effectively with all levels of the business up to and including the Executive and Non-Executive Directors Knowledge of relevant company law and company secretarial requirements Strong and proactive organisational and planning skills Knowledge of life and pensions industry in general and over time the Group in particular Well-developed knowledge of Board processes and routines What’s in it for you?
