Governance Manager (FTC - Maternity Cover)
Fixed-Term Contract (Maternity Cover) | Until March 2027
Salary: £50,000 – £60,000 per annum + benefits
Location: Coventry
Working arrangements: hybrid - 3 days in office
We are supporting the appointment of an experienced Governance Manager on a fixed-term maternity cover contract, expected to run until March 2027. This role sits at the heart of the organisation’s governance function, working closely with senior leadership, boards and committees to ensure effective decision‑making, strong compliance and best‑practice governance.
Key responsibilities:
* Lead and co‑ordinate governance and secretariat services across boards and committees
* Act as a trusted adviser to senior executives, non‑executive members and board chairs
* Prepare and manage agendas, papers, minutes and action tracking for board and committee meetings
* Ensure compliance with statutory, regulatory and governance best‑practice requirements
* Maintain registers, statutory filings and governance documentation
* Deputise for the Head of Governance / Company Secretary as required
* Drive continuous improvement of governance processes, systems and controls
* Manage and support a small governance team and liaise with external advisers
About you:
* Proven experience in a senior governance, company secretariat or corporate governance role
* Strong understanding of board and committee operations and governance frameworks
* Excellent written and verbal communication skills, with confidence advising at senior level
* Highly organised, detail‑focused and comfortable working to deadlines
* Experience operating in complex or regulated environments
* Degree qualified or equivalent experience; Chartered Governance Institute accreditation desirable
