Role overview:
Introduction to the role: We seek a corporate lawyer to join our established team in London, focusing on M&A work within the healthcare sector, collaborating closely with the Head of Corporate Healthcare and the wider team on various transactions.
Introduction to the team: Our experienced corporate team operates nationally and internationally, advising clients from large corporations to start-ups on domestic and cross-border transactions.
Key responsibilities:
* Supporting/leading mergers, acquisitions, disposals, reorganisations, and investments in the healthcare sector
* Handling acquisitions and disposals of business assets or shares
* Supporting due diligence, data room reviews, and disclosure processes
* Preparing disclosure letters and supporting bundles
* Reviewing investment documents for PE-backed transactions
* Drafting and negotiating transaction documents and ancillary agreements
* Handling corporate restructurings, shareholder agreements, joint ventures, and LLP agreements
* Contributing to business development and tenders
* Early client exposure opportunities
What are we looking for:
Essential:
* Law degree or equivalent
* Proven experience in M&A or private equity transactions
* Excellent communication skills
* Strong organizational skills and ability to prioritize
* Proficiency with document management systems
* Ability to manage a caseload independently and provide commercial advice
* Strong technical skills and eagerness to learn
* Adherence to guidelines and procedures
* Understanding of client needs and expectations
