The role

M&A Operations is a market-leading team within the Strategy& business unit in PwC Deals, supporting corporate and private equity clients through high-impact M&A and transformationengagements. Our work spans the full deal lifecycle, from pre-deal operational due diligence and value creation, through carve-out anddivestment support, to post-deal integration,synergydevelopmentand performance improvement.

Within M&A Operations, the Industrial & Services (I&S) sector team works with clients across manufacturing, industrialproducts andservices, business services,packaging,engineeringandconstruction.Wework closely alongside ourEnergy, Utilities & Resources (EU&R) team andadvise on transactions ranging from mid-market deals to multi-billion-pound acquisitions,frequentlyworking alongside top-tier private equity houses and global corporates.

What your days will look like:

1. Pre and post deal performance improvement using our proprietary Value Creationmethodology; includingidentifyingoperational improvement levers e.g. site footprint consolidation, procurement efficiencies,back officerationalisation, supply chain optimisation, etc.

2. Supporting carve-outs and divestments to achieveviablestandalonebusinesses;including advising on separation planning, execution,transitionand optimisation e.g. Day 1 readiness, migration planning, TSA / LTA requirements, separation cost analysis,etc.

3. Providing buy and sell side Operational DueDiligence;including analysing the operations of a business along the value chain e.g. production, supply chain, support functions, Capex investment, etc.

4. Mergers and acquisitions integration support; including defining and executing the integrationprogramme, anddeveloping and reviewing operational synergies in combining the two businesses.

5. Assistingwith other non-transactional products to support clients in maximising profitability e.g.zero basedbudgeting.

Across the engagements above,as aManageryour role will be primarily to lead a workstreamwithin a large project(orleadawider remit on asmallerproject),ownanalysis to substantiate your findings and communicate them to keyinternal and externalstakeholders verbally and via written report format.

Youwillbe expectedto manage AssociatesandSenior Associates to supportproject deliveryas well asowninga range of business development activities.

Successful candidates typically have experiencein:

6. Operationalortransformationalleadership experience withina corporateenvironment, including experience in one or more of the following: lean manufacturing,manufacturing best-practice,operationalrestructuringand cost reduction

Or

7. Experience leading workstreams within a professional services environment (either in a Deals or Consulting background), focused onIndustrials & Services(I&S)

This role is for you if:

8. Able todemonstratea strong understanding of a function suchas;engineering,operations,maintenance,procurement, supply-chainor manufacturing

9. Canquickly assess the performance of a business (or elements of it) and outline improvement opportunities based upon limited information and/ or interactions with Management

10. Excellent stakeholder management skills, with the ability to engage and communicate with senior business leaders

11. Excellent quantitative and written skills, able to build analyses or an evidence base to support a position, often in situations with imperfect or incomplete information

12. A healthy curiosity, coupled with a disciplined approach to understanding and solving problems

13. Able to work fromfirst-principlesand stay focused on the ‘why’ when performing analyses or reviewing documentation

14. Comfortable under pressure and managing through ambiguity to deliver tasks in an environment where there are many unknowns

15. Adaptable, and up for the challenge of mastering new industries and developing experience in a wide variety of product types

16. Capability or willingness to develop skill inAI anddata analytics e.g. Alteryx,PowerBI, Tableau
