We’re currently recruiting for an experienced Assistant Company Secretary to join our Legal & Company Secretariat team. This is an exciting opportunity to play a key role in SIG’s governance framework, supporting the Board, and ensuring corporate compliance across a complex, multi-entity plc environment.
This is a 12 month fixed term contract and is hybrid with occasional travel as required
What does the role involve?
As Assistant Company Secretary, you will provide high-quality governance and company secretarial support to SIG plc and its UK subsidiaries, working closely with the General Counsel & Company Secretary.
Your responsibilities will include:
* Delivering governance, statutory compliance and company secretarial support for SIG plc and UK subsidiaries.
* Assisting in the production of papers for the Board and its Committees, and publishing materials for these meetings via the Diligent platform
* Supporting compliance with the UK Corporate Governance Code, Companies Act, UK Listing Rules, UK Market Abuse Regulation, Takeover Code, and other regulatory frameworks.
* Working directly with Non-Executive Directors, providing prompt, professional support and information.
* Maintaining the Group’s structure chart and company database (Diligent Entities) to ensure accurate and up-to-date records.
* Owning corporate record keeping for SIG plc and UK subsidiaries and ensuring all statutory filings are completed accurately and on time.
* Assisting with the incorporation and dissolution of subsidiary companies to meet business needs.
* Drafting and coordinating the governance sections of the Annual Report & Accounts, and supporting year-end processes.
* Assisting in the effective organisation of the AGM, including documentation and logistics.
* Supporting group restructuring, M&A activity, and completion formalities.
* Assisting Group Reward in administering the Group’s share schemes.
* Releasing RNS announcements via the London Stock Exchange and making other filings, such as Delayed Disclosure Notifications.
* Building strong relationships across the business including Group Reward, HR, Tax & Treasury, Finance and UK/non-UK operating companies.
* Assessing new governance technologies and recommending forward-looking solutions for the Group.
This role is key to ensuring governance standards and corporate compliance, and enabling an efficient, technology-driven Company Secretariat function. The Co Sec function comprises of this role plus the GC/Co Sec.
What you'll have:
* Minimum 5 years’ company secretarial experience in a listed plc environment.
* Strong understanding of relevant legislation, governance codes and Listing Rules.
* Experience using Diligent Entities, Diligent Boards, and InsiderLog software.
* Prior experience supporting Annual Report production and other regulatory filings.
* Strong organisational, analytical and IT skills (Office 365).
* ICSA/CGI qualified.
