The role We are currently looking to recruit a Legal Counsel on a 12-month fixed term contract to work within our small in-house legal team, where you will be drafting, reviewing and negotiating a wide variety of clinical and non-clinical commercial agreements as well as project work to support The London Clinic's growth strategy. The majority of your time will be spent advising on commercial contracts but you will also be expected to provide guidance and legal advice on commercial matters to the wider business. You will ideally be a UK qualified solicitor with a suitable level of PQE (although other candidates will be considered). Drafting skills are essential and we are especially keen to hear from candidates with in-house experience. Due to the busy and varied nature of the role, it is essential that you are experienced in a wide range of commercial contracts as you will have a fair degree of autonomy in this role. Job title: Legal Counsel Salary: Dep on exp benefits Location: London, NW1 Term: 12 month FTC Hours: Full-time/hybrid, 2- 3 days per week onsite Responsibilities: Handle a wide range of commercial contracts from drafting through to negotiation and finalisation. The types of contracts include but are not limited to general supply of goods and services agreement, consultancy services (clinical and non-clinical), IT agreements (including SaaS, IaaS ,software licenses, maintenance and support services, consultancy services, network services), PMI agreements, international referral and partnership agreements, clinical trial agreements, material transfer agreements, framework agreements, NDAs, medical equipment purchase and maintenance contracts, marketing agreements, data sharing/transfer agreements and NHS subcontracts Work to minimise risk and manage any disputes that arise as a result of breach of contract Project support work will include legal advice/contract support for new IT investment, new medical equipment purchases, new partnerships and new business revenue streams Establish and maintain excellent working relationships within the Hospital to ensure we support our business colleagues and that legal advice is consistently given to colleagues when needed Collaborate cross functionally with other functions across the Hospital including Information Governance, IT, People, Procurement, Finance as well as the Clinical teams. Manage relationships with external stakeholders such as suppliers, external legal counsel and industry regulators Advise on changes in legislation that affect the Hospital, its patients and industries. Assist with tenders and responses to tenders, as required Assist, and deputise for, the Senior Legal Counsel or Head of Legal on other matters when required Comply with internal policies, in particular the Contract Review and Approval Policy and Procurement Policy Draft and maintain policies relating to compliance, regulation and best practice. Ensure such policies are regularly reviewed annually or when changes are made to the law or internal procedures Draft, review and update Clinic template contracts Support with the implementation of the legal team's new contract and matter management system Provide other ad hoc legal advice as required. For example, on issues including, trade mark disputes, competition law and CMA Order compliance, GDPR, Telecommunications code, Landlord consents and rent reviews, contract termination, contract breach and regulatory compliance for new medical procedures Work as part of an incredibly supportive team to deliver the Hospital's shared vision and strategy Skills & experience: UK qualified lawyer with ideally 3/4 years' PQE Ideally some in-house legal experience Solid experience of reviewing, drafting, negotiating and advising on a range of commercial contracts Excellent communication skills with the ability to manage internal and external client relationships Ability to prioritise and manage conflicting and challenging deadlines Ability to manage internal and external stakeholders Ability to work at pace and give pragmatic commercial legal advice Ability to work with colleagues across different disciplines, adapting to changing work areas and priorities and demonstrate effective interpersonal skills Strong organisational skills and the ability to deal efficiently with and appropriately prioritise a large number of administrative issues and matters Benefits We offer a range of benefits including flexible working and great career opportunities.
