The Legal Counsel reports to the Director, Legal Services & Corporate Secretary and works closely with another legal counsel. The incumbent serves as the primary legal contract for our EMEA & APAC regions, providing additional support for global corporate matters as needed. Your Day with Equisoft
* Serve as the main legal point of contact for all EMEA & APAC legal matters
* Review and negotiate contracts, including global NDAs, service agreements, licensing agreements, statements of work, procurement agreements, amendments, change requests and renewals for the EMEA & APAC region.
* Negotiate and draft complex software licensing agreements, focusing on SaaS arrangements.
* Lead contract negotiations for technology and financial services agreements subject to European Banking Authority (EBA) Guidelines and Digital Operational Resilience Act (DORA) requirements.
* Ensure compliance with privacy laws in the UK.
* Collaborate with cross-functional teams across multiple time zones.
* Provide strategic legal guidance on regulatory compliance matters.
* Coordinate and manage corporate secretarial matters across EMEA & APAC jurisdictions, liaising with local external counsel, overseeing entity compliance requirements and ensuring timely completion of statutory filings and governance obligations.
* Support global corporate legal matters as required.
* England and Wales qualified lawyer with 3-7 years of relevant experience.
* Proven experience negotiating software licensing agreements, specifically SaaS agreements.
* Demonstrated experience negotiating agreements subject to EBA Guidelines.
* Demonstrated experience negotiating agreements subject to DORA.
* Ability to work effectively across multiple jurisdictions and time zones.
* Experience working with cross-functional teams.
* Excellent knowledge of English (spoken and written).
