Delighted to be working with a growing Lloyd's specialty (Re)Insurer who are seeking to hire a Company Secretary. Reporting to a newly appointed General Counsel, this role will play an integral part in shaping the function and leading on governance matters for the company.
There will be scope to lead and manage a team in the future, with the business committed to hiring over the next 6-12 months.
Key responsibilities include:
* Managing the Syndicate & MGA Boards and Committees. Will include agenda setting, development of Board packs, minute taking and follow-up actions.
* Implement governance best practice and ensure regulatory standards are maintained.
* Ensure compliance with Lloyd's, PRA and FCA governance requirements.
* Provide governance support across the Group's entities and subsidiary companies.
* Support on corporate transactions from a governance perspective, including M&A & capital raises.
* Drive ESG initiatives and improvements.
* Being a key, trusted advisor to the Board.
Skills & Qualifications Required:
* Qualified/Chartered Company Secretary (ICSA/CGI) or equivalent.
* Previous experience within the Lloyd's Insurance Market is desirable. Wider Insurance & regulated Financial Services experience will be considered.
* In-depth knowledge of company Law, corporate governance frameworks and the regulatory landscape is essential.
* Strong inter-personal skills and ability to interface effectively with ExCo and senior stakeholders.
* Can-do attitude, takes the initiative and leads on key projects.
