Job Description
As a Group M&A Accountant, you will be integral to the Group’s financial reporting and consolidation, ensuring compliance with standards and supporting analysis, reporting, and process improvements within the finance team.
Key Responsibilities
1. Support M&A team with financial due diligence pre-acquisition.
2. Conduct internal audits and liaise with Sellers for sign-off on completion accounts (FRS102) and apportionment statements.
3. Complete IFRS adoption processes with acquirees, including adjustments and reconciliations.
4. Analyze accounting standards application, e.g., IFRS15, IFRS16, IFRS9, and holiday pay.
5. Review SPA and APA components, monitor key events and deadlines.
6. Prepare acquisition accounting entries, including valuation of consideration and recognition of deferred payments.
7. Monthly preparation of journals for goodwill, investments, and other balance sheet items.
8. Support budget preparation for M&A targets and assess potential synergies.
9. Act as key finance contact during post-acquisition phase, liaising with Sellers and external advisors.
10. Track M&A workflow progress to ensure timely completion.
11. Prepare financial statements for M&A targets in the first year post-acquisition, including IFRS1 adoption.
12. Assist in preparing the first tax computation for the group, considering IFRS impacts.
13. Support group tax objectives and reconciliation activities.
14. Draft reports for knowledge sharing across teams.
15. Develop internal policies related to acquisition accounting and finance procedures.
16. Coordinate with group finance teams and other stakeholders.
17. Participate in other financial control projects as directed.
Minimum Requirements
* Professional accounting qualification (ACA/ACCA/CA).
* Experience in audit, financial and statutory accounting, consolidations, and acquisition accounting.
Additional Requirements
* Up-to-date knowledge of IFRS and UK GAAP (FRS102), including recent standards.
* Excellent communication skills for dealing with internal and external stakeholders.
* Experience analyzing financial and legal documents such as accounts, budgets, agreements, and tax computations.
* High attention to detail and ability to manage large volumes of information.
* Experience in Professional Services is advantageous.
* Strong MS Office skills, especially Excel.
