We’re working with a major UK investment and pensions organisation seeking an Assistant Company Secretary to support its Boards and Committees in delivering best-practice governance and compliance.
You’ll play a key role in ensuring the organisation meets its statutory, legal, and internal governance obligations, working closely with senior stakeholders across a complex, regulated structure.
Key responsibilities:
* Act as Committee Secretary — preparing agendas, drafting minutes, coordinating actions, and managing papers via Diligent Boards.
* Provide governance and compliance advice, supporting effective decision-making and high-quality board reporting.
* Manage Diligent Entities and Companies House filings, including confirmation statements, accounts, and director changes.
* Maintain Power of Attorney and authorised signatory records, and assist with the Trustee election and appointment process.
Ideal profile:
* Experience within a company secretarial or governance team, ideally in a regulated or multi-entity environment.
* Strong knowledge of Companies Act requirements, entity management systems, and board/committee administration.
* Excellent drafting skills, attention to detail, and confidence engaging at senior levels.
