Corica Mining Services Corica Mining Services is a leading international mining services group with a growing portfolio of major mining projects across Africa (the Group). We are now seeking an associate legal counsel to join our legal team. This is a high-impact role providing day-to-day legal support to mining operations teams, procurement and supply chain teams, finance and business development teams and the senior executive management team. The position offers an excellent opportunity for an experienced commercial/corporate lawyer to join a small growing legal team which operates at the heart of a major organisation, advising across a wide variety of strategic and operational matters. The Role The role will be fully remotely based with occasional travel to UAE and West Africa, offering a salary in the range of US$100,000 to US$115,000 (£75,000 - £85,000) per annum. As a member of the legal team, you will deliver pragmatic, commercially focused advice to the business and its subsidiaries. The work is varied and highly engaging, covering high-value and complex major mining and civil projects agreements, supply chain and procurement contracts and frameworks, dispute management, regulatory support, asset financing and corporate financing matters and transactions. Candidates should be aware that the Group operates across various time zones on 24/7, 365 basis and legal counsel may be required to attend meetings and/or calls outside normal working hours of their current location. Key Responsibilities Include: Providing legal support to, and troubleshooting for, the corporate and operations teams. Advising on and execution of a potential range of corporate transactions, including acquisitions, joint ventures and disposals of mining interests. Implementing project finance, debt finance or capital markets transactions or refinancing' and assisting with the ongoing reporting requirements under such financings. Drafting, reviewing and negotiating various corporate and commercial contracts. Assisting with the maintenance of offshore subsidiaries, corporate records and any online transaction data room. Supporting the management of litigation and disputes, including coordination of external counsel where needed. Assessing legal and commercial risks and proposing practical, proactive solutions. Delivering internal training and supporting continuous process improvement. Assisting with additional legal projects and initiatives as required. This role will suit an ambitious and high achieving commercial and/or corporate lawyer with 3-5 years post qualification experience with exposure to major construction and operations contracts, finance and corporate transactions (although all levels will be considered based on experience and capacity) who is comfortable working remotely and autonomously, partnering with senior stakeholders, and navigating a broad range of legal matters in a fast-moving environment.
