PURPOSE AND OBJECTIVES
The Legal Counsel is responsible for managing all legal matters within the CornerstoneONE Group, with a primary focus on real estate. As the sole legal advisor, the Legal Counsel supports property transactions, construction projects, and leasing activities, while also handling any other legal issues across the business.
This is a global role with responsibility for legal matters across the CornerstoneONE Group, with the oversight and support by the Legal Department of PSI CRO Group.
SCOPE OF RESPONSIBILITIES
1. Independently reviews, drafts, and negotiates contracts and other legal documents with a particular focus on real estate agreements globally.
2. Acts as the primary legal point of contact for the company, handling day-to-day legal matters such as contracts related construction projects, service agreements, labor agreements, finance agreements with banks, company internal loan agreements, and escalating issues as needed.
3. Manages and provides legal oversight for projects with a global impact, in close collaboration with the legal team of PSI. Drafts, prepares, and reviews corporate documents.
4. Identifies, researches, and analyzes various legal issues; assesses the impact on the business and provides legal recommendations. Takes ownership of identifying and managing areas of legal risk for the company and collaborates with the legal team of PSI to ensure alignment.
5. Identifies the need for new or revised policies and procedures, and develops or updates these as needed, supporting their cross-functional implementation. Ensures compliance with existing policies and procedures related to legal matters. Assists with various international projects, contributing legal expertise as needed. Collaborates with and seeks oversight from the legal team of PSI, as needed, to handle complex legal matters.
6. Assists in any other legal or administrative matters as requested.
1. Real Estate Legal Support
· Review, draft, and negotiate real estate contracts including purchase agreements, lease agreements, construction agreements, financing agreements and property management agreements.
· Advise on legal aspects of property acquisitions, disposals, and leasing transactions.
· Supports with legal due diligence on real estate assets and projects.
· Ensure compliance with applicable laws and regulations related to land use, zoning, environmental matters, and construction.
· Support internal teams on real estate development, asset management, and operational matters.
· Manage external legal counsel and coordinate legal input for cross-border transactions.
2. General Legal Advisory
· Provide legal advice on corporate governance, commercial contracts, employment law, regulatory compliance, and data protection across the group.
· Draft, review, and negotiate general commercial agreements, including service contracts, supplier agreements, NDAs, and consultancy agreements applicable to multiple jurisdictions.
· Develop and implement internal legal policies, procedures, and templates to support operational efficiency and compliance across the CornerstoneONE group.
· Monitor legal developments in key jurisdictions and advise management accordingly.
3. Risk Management and Dispute Resolution
· Identify legal risks and propose mitigation strategies.
· Represent the group in legal proceedings, mediations, and administrative hearings as required.
4. Coordination with PSI CRO Group
· Maintain regular communication with the Legal Department of PSI CRO Group.
· Align local and international legal practices with group-wide policies, standards, and strategic objectives.
· Escalate material legal risks and issues to the PSI CRO Group as appropriate.
· Participate in group-wide legal initiatives, compliance programs, and cross-border projects.
5. Other Matters
· Assists in any other legal or administrative matters as requested.

General Counsel of the PSI CRO AG or their designated delegate within the Legal Department.

MINIMUM QUALIFICATIONS & REQUIREMENTS
1. Law Degree, Master of Laws
2. Proven track record in real estate law, ideally with substantial experience advising on property transactions and portfolio management in an international environment.
3. Demonstrating sound judgment, commercial acumen, with the ability to navigate complex legal frameworks and provide pragmatic legal advice.
4. Strong negotiations, communication, and organizational skills, with a proactive and solution-oriented mindset.
5. Ability to work independently and collaboratively, contributing effectively within cross-functional teams.
6. Proficiency in English, oral and written; additional languages are an asset
