What it's about
The Private Wealth Structuring team is responsible for designing and scaling Partners Group’s Private Wealth and semi-liquid platform. It develops innovative investment structures and funds for institutional and private investors globally. Structuring professionals collaborate with the firm’s client relationship management, portfolio management and operations teams as well as with clients, external professionals and regulators. Representative projects include, for example, the establishment and maintenance of open-ended investment vehicles (ELITIFs, Part II SICAV, limited partnerships and other investment funds), design and formation of bespoke investment structures, review of regulatory frameworks and participation in marketing meetings.
Responsibilities:
1. Lead and manage European Private Wealth structuring initiatives, including the design, formation and negotiation of semi-liquid products customized to accommodate the applicable global investor base
2. Contribute to defining and implementing an optimal product strategy aligned with PG’s ambition in the Private Wealth and semi-liquid space
3. Develop, maintain and implement robust processes for smooth product launches and maintenance, ensuring strong controls and minimized errors
4. Manage complex structuring projects from legal, operational and project management perspectives
5. Draft and review agreements, offering memoranda, articles, limited partnership agreements, side letters, administration agreements, depositary agreements, and other documentation relating to various investment structures
6. Research tax, legal, regulatory and accounting considerations relevant to specific clients, products and jurisdictions, applying research to support product innovation and formation
7. Take ownership of all European funds, including designing innovative features and managing related processes and procedures
8. Instruct and manage external legal advisors and service providers cost-effectively
9. Support business development through presentations, client meetings, etc.
10. Negotiate agreement terms with institutions for portfolio management/advisory and partnership/distribution opportunities
What we expect
Qualified lawyer based in Zug or London with 5-10 years of relevant experience at a top law firm, bank, or asset manager, especially in private markets fund formation or investment exposure.
Deep experience with private markets funds, evergreen funds, distribution arrangements, securitized vehicles, and innovative structures.
Legal and regulatory expertise in Luxembourg investment funds is essential; experience with Cayman, Guernsey, UK, and other funds is desirable.
Experience in establishing funds under European regulations (e.g., AIFMD, MiFID) is essential; familiarity with other global fund regulations (e.g., Advisers Act) is a plus.
Experience working with a global investor base, including distribution partners.
Self-motivated, proactive, with a strong desire to learn and succeed.
Excellent analytical, interpersonal, and project management skills to handle multiple projects.
Fluent in English, both written and verbal; additional European languages are desirable.
