Responsibilities
* Corporate law support in coordination with the UK legal counsels:
o Prepare first drafts of board minutes relating to company activities, coordinate and assemble signature packs, and manage all related formalities including Companies’ House filings.
o Assist legal counsels with any other requirements relating to the creation of companies and corporate organisational changes (Boralex currently has around 20 subsidiaries in the UK).
o Draft and update powers of authority.
o Research and summarize corporate information.
* Property law support in coordination with the legal counsel specialised in property:
o Support with title due diligence – obtain and search title sheets, plans, burdens; collate third‑party rights; maintain trackers; prepare initial reports on title.
o Support with Land Registry (England & Wales) / Registers of Scotland (RoS) – compile application packs, check plans/instruct plans report, chase requisitions/title queries, file LBTT returns with solicitor review.
o Track key dates: long stop dates, notice dates, renewal dates, expiry dates.
* General contract support:
o Initial review of documents against Boralex templates, or run compares.
o Assist in developing templates and maintain the template bank.
o Assist in producing first drafts of standard documents (e.g. NDAs) using Boralex templates.
o Organise signatures on DocuSign.
o Assist with dataroom management for M&A transactions.
o Provide support to legal and operational staff (e.g. legal formatting of documents, letterheads, signatories, etc.).
* Documentary management:
o Populate and manage online platforms (Teams/Sharepoint) and manage/archive physical documents relating to the whole UK business (not limited to property & corporate).
o Liaise with headquarters to populate the corporate software.
* Knowledge:
o Monitor new legal and policy developments in the sector and relevant areas.
o Prepare initial notes of legal and policy developments to be reviewed and circulated to the team.
o Assist in preparing presentations regarding legal or policy updates in the sector.
o Research legal or policy points emerging from work.
* Manage SAP for the UK legal team.
Requirements
* Senior paralegal with at least 7 years’ experience.
* Strong experience in corporate, commercial and project‑related matters, preferably within the energy, infrastructure, or industrial sectors.
* Ability to work autonomously and manage complex documentation.
* Highly organised and proactive.
* Will accompany two solicitors across all legal aspects of renewable energy projects, including M&A, property, corporate, project financing, and energy project development and operations.
