As a Company Secretarial Assistant you will play a key role in supporting a wide range of governance and company secretarial activities, contributing to the smooth and effective operation of the function. This role is ideal for someone who is proactive, positive, and highly organised, with a passion for delivering exceptional support to both internal and external stakeholders.
What You’ll Be Doing
This role provides the opportunity to gain hands‑on experience supporting the governance activities of both a FTSE100 listed company and its private subsidiaries. You will ensure we meet all reporting, regulatory, and legislative requirements while upholding strong governance across the Group.
You will work closely with internal and external stakeholders, building trusted relationships and helping maintain effective processes, documentation, and compliance standards. Alongside your core responsibilities, you’ll support projects and wider programmes of work as directed by the Senior Assistant Company Secretary.
Key Responsibilities
* Coordinating Board logistics, including travel, accommodation, expenses, site visits, and the AGM.
* Organising induction programmes and logistics for new Non‑Executive Directors.
* Supporting annual Board performance evaluations.
* Assisting with Board and Committee governance, including preparing agendas, minutes, written resolutions, and distributing papers through our secure online portal.
* Supporting statutory and regulatory compliance, including annual report and accounts processes and confirmation statements.
* Drafting documents for intra‑group transactions, including loans, share capital changes, and other corporate actions.
* Updating and maintaining statutory records using our entity management system.
* Providing administrative support for the corporate reporting programme, including scheduling, proofreading, data/narrative verification, and drafting papers.
* Issuing routine stock exchange announcements.
* Liaising with a wide range of stakeholders, such as Board members, auditors, Finance, Communications, and Compliance teams.
How We Work
You will be based at our Severn Trent Centre in Coventry. The role requires 37 hours a week.
What We’re Looking For
* Experience in a Company Secretarial Assistant or governance‑focused role (desirable).
* Strong administrative and organisational skills, with exceptional attention to detail.
* Excellent written and verbal communication skills.
* CGI (ICSA) qualified, part‑qualified, or actively studying towards the CGI qualification is desirable. If the qualification is not yet complete, the role holder must demonstrate a clear commitment to completing it.
* Ability to work under pressure and meet deadlines.
* Confident engaging with stakeholders at all levels.
* Strong Microsoft Office skills.
* Flexibility to travel to other Severn Trent sites when needed.
