Offshore Legal has just been instructed to source a team manager (senior company secretary) for one of its major clients in the British Virgin Islands. The successful candidate will be responsible for the administration and management of a large portfolio of companies. The position involves liaising with attorneys and service professionals, compliance oversight, resource planning, work delegation, allocation and supervision, risk management and quality control. Key Responsibilities: Day to day responsibility for overseeing the work of a team of administrators. This includes resource planning, work delegation / allocation and supervision / quality control. Input into performance reviews, identification of staff training needs etc. Technical mentor and motivator to the team, ensuring maximum potential for development of skills. Attend board meetings and complete relevant forms for filing related to the BVI Business Companies Act, 2004 and advise clients on questions of company law, minute and resolution drafting and amendments to memorandum and articles. Assist clients and company correspondent with matters relating to forwarding client completed forms in relation to bank accounts etc. Liaise with clients, client boards, internal and external counsel, accountants, auditors and other professional advisers of the company. Acquire knowledge of the BVI’s VIRRGIN corporate system at the Registry of Corporate Affairs Ensure compliance with all applicable laws, regulations and internal policies and procedures, including those related to the prevention of anti-money laundering and terrorist financing and reporting of suspicious activity or transactions, client due diligence and record keeping Assist fund clients with regulatory requirement and manage the persons responsible for the fund clients Proactive and staying on top of issues within the regulatory/fiscal/global landscape that could impact the business and its clients Implement required system changes through projects, draft applicable policies and procedures, and conduct regular training as required Candidates will ideally have their full CGI (ICSA) qualification and will need a minimum of 5 years relevant Company Secretary experience, of which at least 3 should have been in a Management role(s). Those with a law degree and the relevant experience will also be considered.
