Job Purpose

To assist providing an efficient and effective legal governance and regulatory compliance & Risk services for the Group.


Key Responsibilities:

* As part of the inhouse legal service, you will be advising on legal and regulatory compliance: ensure the organization's policies and procedures align with relevant laws and regulations. Creating trackers and appropriate systems to record data to ensure regulatory compliance.
* Drafting and reviewing legal documents:
* This includes corporate constitutions, policies, procedures, contracts, and other legal documents related to governance.
* Conducting gap analyses:
* Assess the organization's governance practices against industry standards and best practices, identifying areas for improvement.
* Provide legal counsel to the Director of Finance & Governance & The board:
* Advise the board on its responsibilities, powers, and obligations, as well as on potential legal risks and issues
* Managing legal risk:
* They identify, assess, and mitigate potential legal risks related to governance.

Providing training and education: offer training to staff and board members on corporate governance principles, policies, and procedures.


Provide Board and Committee administration services to the corporate governance structure in line with agreed corporate standards adopting a business partnering approach, this includes:

* Board meeting planning, scheduling and corporate diary management in line with corporate calendar requirements;
* Drafting and liaising with Director of Finance & governance to finalise the agenda;
* Assisting with the writing of quality and accurate reports which give board members the right level of information to support their governance role;
* Collation of papers;
* Coordination of distribution of all Board/ Committee papers to members and officers;
* Activities which support the delivery of projects, such as: rule changes; winding up of subsidiaries; and the scheduling of Board Meetings.


Responding to internal customer requests for information and support. These might include (but are not limited to):

* Provision of information for the accounts
* Arranging tender openings
* Access to board reports
* Data for statistical returns
* Correct approvals for the execution of documents
* Application of the General Consent


Support delivery of Resides and regulatory compliance framework including:

* The establishment and maintenance of governance and compliance systems which ensure corporate returns and subscriptions are completed correctly and filed on time;
* Assisting with Maintaining statutory books, including registers of members, directors and secretaries, shareholders;
* Providing information to support Resides annual return to regulatory bodies;
* Working with the finance, audit and board admin teams to achieve accounts sign off and smooth running of board meetings for Reside;
* Collecting information from Board members required to support legal and regulatory compliance returns;
* Supporting with Probity approvals and updating the Probity Register (fit and Proper Person);
* Maintain the compliance schedules for regulatory bodies, review documentation and update as appropriate.


Support with the delegatory framework matters (ie ensuring corporate objectives and targets in line with a broader Environmental, Social, and Governance (ESG) approach, establishing appropriate management structures, and ensuring effective communication channels to keep the board informed about governance-related risks ( risk register monitoring) and opportunities)and use of the General Consent, ensuring all contractual commitments are only entered into with the correct authority and provide advice and guidance to colleagues on the process. Corporate administration services, including:


* Invoice processing;
* Archiving for the team, reviewing existing archiving arrangements and ensuring they are kept up to date and are fit for purpose;
* Supporting the signing and sealing of legal documents;
* Administration services for the pension scheme trustees including the planning and scheduling of meetings.
