Overview
Senior Assistant Company Secretary role at Three UK. Location: Reading, England, United Kingdom. Hybrid working arrangement. Full-time, 37.5 hours per week – Mon to Fri.
What You Will Do In The Role
* Meeting support – Supporting the preparation of agendas, drafting papers and compiling board packs for Board and Committee meetings for Group Board and Committees. Supporting with the meeting minutes for Board Committees.
* Supporting the implementation of governance best practice – Supporting the Deputy Company Secretary in driving governance excellence and the development and implementation of corporate governance policies, procedures and practices.
* Subsidiary compliance – Overseeing the management of board meetings and statutory compliance for subsidiary companies within the Group. Including minute taking and drafting of resolutions. Assisting with oversight of work carried out by the Company Secretarial Assistant including maintenance of statutory records; ensuring compliance with the Companies Act; assisting with paper and online filings at Companies House.
* Record Keeping – Helping maintain accurate records of corporate actions in online portals and electronic databases – including resolutions, minutes, and other relevant documents.
* Other Tasks – Assisting with compliance queries relating to the Group Delegation of Authority. Assisting with technical enquiries and drafting disclosures required for annual Group and subsidiary company accounts (e.g., s172 disclosure). Assisting other stakeholders in the business with miscellaneous reporting requirements (Payment Practices, Modern Slavery) where required. Managing ‘Know Your Customer and Ultimate Beneficial Owner requests.
Qualifications
* Lawyer or Chartered Governance Institute qualified with extensive experience in a company secretarial role.
* High level knowledge and understanding of corporate governance principles and statutory requirements.
* Strong organisational skills and attention to detail.
* Excellent communication and written skills.
* Ability to deal with senior stakeholders.
* Proficiency in Microsoft Office Suite and other relevant software.
* Ability to work independently and as part of a team.
* Experience with company secretarial software and databases (e.g., Board Intelligence, Diligent) essential.
