The London Private Equity Team has an opportunity for an Associate with a minimum of 2 PQE in Private Equity. The lawyers in their private equity transaction practice represent sponsors that provide private capital, as well as the companies, management teams, family offices and entrepreneurs who utilise that capital to acquire, create and grow businesses around the globe. The role will focus on advising private equity sponsors, portfolio companies and management teams on a broad range of matters, including auction and buyout processes, majority and minority investments, bolt-ons, exits and corporate advisory work.
a) experience of working on multiple private equity transactions, including drafting and negotiating preliminary documentation such as Exclusivity Agreements, Heads of Terms and Management Equity Term Sheets, as well as SPAs, Disclosure Letters, Investment Agreements and Articles of Association, legal due diligence and ancillary documentation; (c) ideally, market knowledge of typical terms on private equity transactions;
(h) ideally have experience working in the London office of an international firm.
