Job summary
Responsible for working closely with the business to provide legal support to (i) Amundi (UK) Limited; and (ii) the European based investment teams (4 investment hubs) of the Amundi group.
The Legal Counsel is an important part of the approval process for new products and mandates and works on legal aspects required during the lifecycle of the client relationships, as well as the responsibilities listed below.
The Legal Counsel must work independently when required as they will be a contact for UK and certain capital markets related legal issues and the local correspondent on specific topics.
The role of the legal counsel includes a variety of legal tasks and involves providing legal support and advice with respect to the following:
(i) Amundi (UK) Limited:
1. Assisting in providing general legal assistance and advice on a variety of legal issues relevant to the business, including with respect to front office, middle office, commercial teams, support functions and on corporate governance matters;
2. Negotiation and review of various agreements and documents, ie, investment management agreements, investment advisory agreements, confidentiality agreements, side letters, services agreements, certificates, powers of attorney, resolutions, etc.;
3. Local correspondent to centralised legal functions: distribution, institutional client services, capital markets, corporate, corporate development and/or certain specialised products; and
4. Assisting in the coordination or implementation of various legal projects, including of new regulations, as needed.
(ii) Capital Markets- Investments:
5. Conducting legal analysis and advising at the occurrence of specific events affecting existing investments (credit events, defaults, early redemptions, assignments, merger or restructuring events, participation in bondholder committees, );
6. Advising and negotiating (i) complex derivatives on all major asset classes and other structured products documentation (TRS, Performance Swaps, Dynamic Equity Portfolio Swaps, structured repos, hybrid instruments); and (ii) complex collateral solutions (initial margin, pledge agreements, );
7. Assisting Portfolio Managers to access new instruments or market comprising legal analysis of the market or instrument and negotiation of relevant documentation;
8. Participating in internal or external working groups;
9. Coordinating projects with external counsel and within the legal business line;
10. Establishing template documentation and providing educational support to internal clients.
The role holder will adhere to FCA rules, SMCR rules and principles, conduct rules and the Firm's policies and procedures. Where appropriate, the role holder will seek guidance from the Head of Compliance.

11. UK attorney qualification
Experience
12. Minimum of 5 years experience in Asset Management or in Capital Markets sector
13. Relevant experience to role requirements as an in-house counsel or law firm experience
Preference will be given to candidates with experience at an Asset Management firm and/or at a major International Law Firm, with a UK attorney qualification
