About the Role: We are seeking a dedicated Senior Assistant Company Secretary to join our client's dynamic team. Key Responsibilities:
* Corporate Governance: Draft governance papers for Board and Committee meetings, review those prepared by CSA and Graduate, and act as secretary to the Operational Management Team meeting.
* PLC Matters: Draft sections of the plc Annual Report and Accounts, manage the planning and arrangements for the Annual General Meeting, and handle post-AGM actions.
* Share Schemes: Manage Executive Share Plans, liaise with the Reward team on incentive plans, and oversee the Employee Benefit Trust.
* Insurance: Support the Deputy with Group insurance arrangements, liaise with the insurance broker, and monitor the Reversionary Freehold Premium position.
* Subsidiary Management: Lead corporate structure simplification, act as Director or Company Secretary for various subsidiaries, and work closely with external auditors.
* Departmental Matters: Assume responsibilities of the Deputy in their absence and support and develop the CSA and Graduate.
Experience and Qualifications:
* Relevant qualifications
* Experience in a listed plc CoSec team
* Executive and all-employee share scheme experience
* Strong organizational skills to meet statutory and regulatory obligations
* Effective management and communication skills
* Corporate simplification/rationalisation experience
