About the Role
The Corporate Transaction Lawyer is an integral part of Latham’s Practice Services team, providing high‑quality, specialised support for Mergers & Acquisitions due diligence. This position is located in our Manchester office and may offer a flexible hybrid schedule.
Responsibilities
* Perform due diligence by reviewing corporate documents—including contracts, organisational documents, real estate leases, and license agreements—to identify key provisions and terms in US and UK M&A transactions.
* Prepare summaries of due diligence findings, including change‑of‑control triggers, anti‑assignment provisions, most‑favoured‑nation clauses, and other contract‑based red flags.
* Collaborate with Associates, Counsel, and Partners to discuss transaction‑relevant terms and provide legal analysis of due diligence results.
* Use Virtual Data Room tools (e.g., Intralinks, Merrill) to access due diligence materials.
* Leverage advanced technologies, such as artificial intelligence and machine‑learning software, and legal project‑management tools to enhance the due diligence review and reporting process.
Qualifications
* Proficiency in PC applications, including MS Office and other programs necessary for thorough analyses, reports, summaries, and presentations.
* Excellent organisational and analytical skills, including planning, problem‑solving, decision‑making, and effective technical writing.
* Well‑developed interpersonal skills and the ability to interact effectively with people at all levels of the firm.
* Relevant experience conducting due diligence in M&A transactions or other corporate processes at a law firm.
* A law degree (or equivalent) and Legal Practice Course qualification.
* Relevant PQE and admission as a solicitor in England & Wales with a current practising certificate, or qualification and admission in a US jurisdiction; candidates with other jurisdictions qualifying under QLTS will be considered.
