Taylor Root is delighted to be working with a leading boutique law firm in central London that is looking to hire a corporate associate into their team. This hire plays into the teams plans to add further capacity and deliver on future growth.
The corporate team advises companies and individuals clients across the full spectrum of corporate law from corporate governance, reorganisations and share and business acquisitions and disposals.
Key responsibilities include:
* Drafting and advising on articles of association, shareholders’ agreements, investment agreements, and partnership agreements
* Preparing share option agreements, board and shareholder resolutions
* Supporting due diligence and disclosure exercises
* Drafting transaction documents and compiling transaction bibles
* Leading smaller transactions and assisting with more complex deals
* Advising on SPAs, loan agreements, facility and security documentation
* Providing guidance on EMI share options (with support)
* Playing a key role in Employee Ownership Trust transitions
* Supporting the firm’s growing M&A practice
1. This role involves a high level of client interaction, so confidence in managing relationships and handling matters independently is essential. You’ll be expected to develop trusted partnerships with clients and contribute to the firm’s reputation for excellence.
Requirements
* UK qualified corporate solicitor with a minimum of 4 pqe in corporate law
* Strong drafting and analytical skills
* Commercial awareness and a proactive mindset
* A collaborative team player with a “can-do” attitude
