Senior Assistant Company Secretary Job Description
This role within a global FTSE100 retailer is crucial for ensuring the effective functioning of the company secretarial team. You will support a growing team in a fast-paced, entrepreneurial organization. The role is diverse, offering many opportunities for development.
Reporting to the Deputy Company Secretary, you will be part of a team handling various company secretarial responsibilities. This position suits an ambitious, capable, and hardworking candidate eager to enhance governance and compliance processes within the Group.
This is a hybrid role based in Bury, Manchester.
Accountabilities:
* Manage end-to-end board and committee processes, including drafting agendas, preparing board papers, and uploading documents to the board portal.
* Oversee UK & international subsidiaries ensuring compliance with global governance frameworks.
* Handle daily Market Abuse Regulation compliance, including maintaining insider and confidentiality lists and monitoring training.
* Assist with the Annual Report & Accounts, including drafting, reviewing content, and liaising with auditors and stakeholders.
* Lead shareholder meetings such as the AGM.
* Manage director induction processes, training, and conflict registers.
* Lead corporate projects, e.g., legal entity rationalization.
* Monitor and improve corporate governance arrangements.
* Coordinate with other departments to provide secretarial support, e.g., M&A activities.
* Support and mentor team members.
* Deputize for the Deputy Company Secretary as needed.
Minimum Requirements:
* CGI qualification (essential).
* At least 8 years’ experience in a company secretarial role.
* Strong understanding of governance and regulatory requirements for listed organizations.
* Excellent attention to detail and organizational skills.
* Ability to build relationships with stakeholders.
* Line management or mentoring experience (desirable).
