About The Job
We are looking for an experienced Company Secretary to join our team. The successful candidate will provide governance support to various committees of MS Amlin as well as boards of aligned subsidiaries. The role reports to the Head of Company Secretarial.
What you’ll spend your time doing:
1. Providing full Company Secretarial support to Board and Management Committees of MS Amlin. This includes:meeting planning, logistics, agenda setting, maintenance of the forward calendar;paper compilation, review for governance purposes, and distribution;attendance at Board sub-committees and ad hoc meetings; andaccurate and timely minuting of meetings and management of actions and matters arising.
2. Providing advice on and facilitating compliance with relevant statutory and regulatory company secretariat and governance requirements.
3. Acting as the Company Secretary for UK and overseas service companies and working closely with the locally appointed CoSec, where applicable.
4. Reviewing and maintaining relevant Committee Terms of Reference and other key governance documents.
5. Oversight, advocacy and support to management and management committee secretaries in ensuring good standards of governance at management committees.
6. Coordinating director induction and onboarding.
7. Maintaining and embedding policies owned by Company Secretarial.
8. Supporting and coordinating director training programme.
9. Supporting and coordinating Board effectiveness reviews.
10. Leadership of continuous improvement initiatives to promote good corporate governance.
11. Horizon scanning in respect of company secretarial, corporate and governance matters, and supporting the Head of Company Secretarial to advise the Board and Executive as appropriate, including preparing and implementing action plans to ensure compliance where necessary.
12. Maintaining relevant registers, statutory books, and administration systems.
13. Liaising with external auditors and other external parties as required.
14. Supporting and coordinating corporate projects of business changes or continuous improvement initiatives, for example, international expansion, corporate finance transactions, corporate reorganisations or closure of dormant companies

What you’ll need:
For this particular role there are some important qualifications and experience we need you to have. These include:
21. A relevant undergraduate degree.
22. To be a qualified Company Secretary or equivalent.
23. Relevant Company Secretarial work experience.
24. Whilst not a pre-requisite for the role, experience using Diligent Boards is preferred.
