Role Overview
The Chief Legal Officer (CLO) is responsible for architecting and operating Evermere’s global legal framework across its proprietary fund structures, SPVs, and transaction platforms.
This is a high-intensity, execution-oriented role designed for a legal leader operating at the intersection of corporate structuring, fund architecture, and real-time deal support. The CLO will build and run a modern legal function capable of supporting daily transaction flow across multiple jurisdictions, with particular depth across the UK, North America, and Europe.
The mandate is to enable speed without compromising control — constructing legal frameworks, processes, and tooling that allow the deal teams to originate, structure, and execute opportunities at pace, while maintaining institutional-grade legal integrity.
Core Responsibilities
International Corporate Structuring
* Lead the design and implementation of complex cross-border corporate structures across fund vehicles, SPVs, and joint ventures
* Architect jurisdictionally optimised structures across the UK, North America, and Europe, ensuring legal robustness and commercial flexibility
* Oversee formation, governance, and lifecycle management of all entities within the Evermere platform
* Provide structuring leadership across equity, debt, hybrid instruments, and structured finance arrangements
Transaction Execution & Deal Team Support
* Act as embedded legal partner to investment and deal teams, supporting high-frequency origination and execution
* Draft, review, and negotiate a wide range of transaction documents including HOTs, LOIs, JV agreements, shareholder agreements, and financing instruments
* Develop repeatable legal frameworks and templates to accelerate deal velocity
* Ensure legal risk is identified, priced, and managed in real time without slowing execution
Legal Process Architecture & Function Build
* Design and implement a modern, scalable legal operating model aligned to Evermere’s transaction velocity
* Build internal legal processes that enable rapid structuring, execution, and governance across multiple concurrent deals
* Establish clear approval frameworks, delegation authorities, and decision pathways
* Reduce dependency on external counsel through in-house capability development, while managing external advisors where required
Legal Technology & Platform Development
* Lead the development of internal legal technology platforms to support structuring, documentation, and workflow automation
* Work closely with engineering and data teams to build tools that standardise and accelerate legal processes
* Implement document automation, knowledge management systems, and deal tracking infrastructure
* Drive the integration of legal into the firm’s broader data and operational stack
Regulatory Interface & Legal Compliance
* Ensure all legal structures and activities align with UK and international regulatory frameworks, including interaction with the Financial Conduct Authority where applicable
* Support the firm’s progression toward AIFM alignment and ongoing regulatory obligations
* Oversee legal aspects of compliance frameworks, working closely with risk and compliance teams
* Maintain robust governance standards across all entities and jurisdictions
AML, KYC & Counterparty Integrity
* Oversee and participate in Anti-Money Laundering (AML) and Know Your Customer (KYC) processes across all transactions
* Ensure appropriate legal frameworks are in place for counterparty onboarding and verification
* Work with compliance teams to maintain rigorous standards while enabling efficient deal progression
* Support development of internal systems to streamline AML/KYC workflows
Governance & Risk Management
* Establish and maintain governance frameworks across all Evermere entities and transactions
* Identify, assess, and mitigate legal risks across jurisdictions and asset classes
* Ensure documentation, approvals, and record-keeping meet institutional and regulatory standards
* Provide clear legal guidance to senior leadership on complex and novel situations
Strategic Partnership to the CEO
* Act as senior legal advisor on all structuring, execution, and strategic initiatives
* Support the design of new platforms, partnerships, and market entry strategies
* Provide pragmatic, commercially focused legal solutions aligned with Evermere’s operating model
* Enable the firm to move decisively in emerging and complex markets
Candidate Profile
Qualifications & Experience
* UK qualified solicitor (England & Wales) – mandatory
* 10–15 years’ experience in corporate law, fund structuring, or transactional legal roles
* Background in a leading international law firm (Magic Circle / top-tier US firm) and/or in-house within a high-performance investment platform
* Deep experience in cross-border structuring across the UK, North America, and Europe
* Strong track record supporting complex transactions at speed
Technical Expertise
* Advanced expertise in corporate structuring, joint ventures, and shareholder arrangements
* Strong understanding of fund structures, SPVs, and structured finance instruments
* Familiarity with UK regulatory frameworks and interaction with the Financial Conduct Authority
* Working knowledge of AML, KYC, and counterparty due diligence frameworks
* Interest and experience in legal technology, automation, and process optimisation
