Director at Clifton Search- In House Legal Recruitment/Company Secretarial
This is an exciting in-house legal counsel opportunity to join an established legal function. This is a broad commercial legal role which would fall within the range of 5-8 pqe. You will provide legal advice and guidance on a range of matters, including general corporate and commercial issues and specific regulatory legal advice as well as on adherence to internal policies and external legal compliance regimes. Provision of legal support and advice to bid, commercial and procurement teams, as well as drafting and advising on complex commercial contracts and matters. Legal reporting in accordance with internal governance requirements. Support and advice to internal customers on contract negotiation, management and dispute resolution. Delivering training to the bid, commercial and procurement colleagues. 5-8 post-qualified experience. Strong commercial and contract law knowledge essential, developed in private practice or in-house at a large organisation. Proficiency in drafting, reviewing, negotiating and interpreting long-term, complex contracts on a range of subjects, including contracts for the provision of goods and services, commercial and Government framework agreements for the same and various business documents (such as non-disclosure and teaming agreements) and corporate documentation. Experience in technology, IT (including SaaS and licencing agreements) law and the protection of Intellectual Property Rights in new and innovative solutions (both tangible and intangible) is highly desirable but, not essential. Knowledge of Defence and / or wider Government contracting policy and approach is beneficial. This role is Bristol based with hybrid working. 2 Days Bristol office.
Responsibilities
* Provide legal advice and guidance on general corporate and commercial issues and regulatory compliance.
* Support bid, commercial and procurement teams; draft and advise on complex commercial contracts and related matters.
* Prepare legal reports in accordance with internal governance requirements.
* Advise internal customers on contract negotiation, management and dispute resolution.
* Deliver training to bid, commercial and procurement colleagues.
* Draft, review, negotiate and interpret long-term, complex contracts (goods/services, government framework agreements, NDAs, teaming agreements, and corporate documents).
* Leverage knowledge of IT/technology law and IP protection where applicable (desirable but not essential).
* Apply understanding of Defence/government contracting policy where beneficial.
Qualifications / Experience
* 5-8 years post-qualification experience (PQE).
* Strong commercial and contract law knowledge, developed in private practice or in-house at a large organisation.
* Proficiency in drafting, reviewing, negotiating and interpreting complex contracts.
* Experience with SaaS and licensing agreements and IP considerations (desirable).
* Knowledge of defence or government contracting policy (beneficial).
Location & Availability
This role is Bristol based with hybrid working. 2 days in the Bristol office.
